What Is Management Change Filing?

Management change filing is the statutory process of reporting the appointment, resignation or cessation of Key Managerial Personnel (KMP) to the Registrar of Companies under Section 203 of the Companies Act, 2013, using Forms DIR-12, MBP-1 and MR-1.

Every listed company and every public company with paid-up capital of ₹10 crore or more must appoint whole-time KMP. When any KMP position changes, the company must file Form DIR-12 with the ROC within 30 days. Missing this deadline triggers additional fees starting at 2x and escalating to 10x for longer delays.

FILING PROCESS

Step-by-Step KMP Appointment and Change Process

1. Pass Board Resolution for KMP Change

Convene a board meeting and pass a resolution approving the appointment, resignation or cessation. Record the effective date. For MD/WTD in public companies, a special resolution may be needed if remuneration exceeds Schedule V limits.

2. Obtain Consent and Disclosure from KMP

Collect Form DIR-2 (consent to act) from the incoming KMP. Obtain Form MBP-1 (disclosure of interest). For resignation, obtain the written resignation letter with effective date and reason.

3. File Form MBP-1 with the Board

The appointed KMP submits Form MBP-1 disclosing interest in other entities under Section 184. No MCA government fee (internal board-level document).

4. Prepare and File Form DIR-12 on MCA Portal

Log in to MCA V3, select Form DIR-12. Enter CIN, KMP details, date of appointment/cessation and DIN (if applicable). Attach board resolution, consent letter and identity proof. Digitally sign with Class 3 DSC and submit.

5. File Form MR-1 for MD/WTD/Manager (If Applicable)

If appointing MD, WTD or Manager, file Form MR-1 within 60 days. Attach appointment letter, resolution and Schedule V compliance certificate if required. Separate government fee of ₹200–₹600.

6. Pay Government Filing Fees

Pay government fee for DIR-12 (and MR-1 if applicable) based on authorized capital. Late filings attract 2x to 10x additional fees.

7. Receive SRN and Certificate

MCA generates SRN for tracking. ROC reviews and updates company master data. Download updated master data as confirmation. Cycle from submission to approval: 5–7 working days.

ELIGIBILITY

Eligibility and Disqualification for KMP Appointment

General Eligibility

KMP must not be disqualified under Section 164. Must hold a valid DIN if also appointed as a director. Compliance Professional must hold professional membership and a valid Certificate of Practice.

Disqualifications

Persons of unsound mind, undischarged insolvents, those convicted of certain offences, or already holding the maximum number of directorships may be disqualified from KMP roles.

Remuneration Limits

MD/WTD remuneration is governed by Section 197 and Schedule V. Excess remuneration may require Central Government approval and can be recoverable from the KMP.

Vacancy Filling

Mandatory KMP vacancy must be filled within 6 months under Section 203(4). Failure attracts company and officer penalties.
